Terms of Service

Template: review before launch. This page is starter text written for PayNudge Autopilot. Nick Quigley should review it, ideally with a lawyer, before taking payments. It is not legal advice.
The short version: PayNudge sends reminder emails to your client on your behalf. You're responsible for making sure the client really owes the invoice and that the reminders are appropriate. Keep it professional.

1. What PayNudge Autopilot does

PayNudge Autopilot (“the Service”) lets you (“you”, the freelancer or business) enter details of an invoice and have the Service email payment reminders to the client email address you provide, on a schedule you approve, until you mark the invoice paid, pause it, or the schedule ends. Emails are sent from reminders@paynudgekit.com with your name in the From line (“Your Name via PayNudge”), your email as the Reply-To, and a footer identifying you as the sender.

2. Sending on your behalf: your responsibilities

Each reminder is sent at your direction and on your behalf. You confirm, for every invoice you activate, that:

  • the client actually owes the invoiced amount to you, and the details you entered are accurate;
  • you have a business relationship with the client and the client email address is one they gave you for invoices or business contact;
  • you have the right to contact that person about the invoice, and you will stop (mark paid or pause) once the invoice is paid or disputed in a way that should stop collection;
  • you are not a debt collector collecting for someone else, and you will not use the Service to collect consumer debts in a way that requires a license or specific disclosures in your jurisdiction.

You are responsible for complying with laws that apply to you and your invoices, including anti-spam, privacy, consumer-protection and debt-collection laws (for example, the Florida Consumer Collection Practices Act if your client is a consumer).

3. Content rule: keep it professional

Reminders must stay professional. No threats, insults, harassment, or claims you can't back up (for example threatening arrest, violence, public shaming, or contacting someone's employer or family). Stating lawful next steps, like a late fee in your contract, collections, or small claims, is fine.

Reminder wording comes from fixed templates. The optional note you add is checked automatically, and notes that break this rule are refused. We may also review sends reported to us. We may suspend accounts that break this rule.

4. Acceptable use

You agree not to: send to anyone other than the client on the invoice; use fake or third-party invoices; use the Service for marketing, bulk email, or messages that aren't about a real unpaid invoice; impersonate someone else; or try to get around rate limits or daily sending caps. Each account has a daily email cap, and every send is logged with its recipient, subject and time.

5. Your client's “Already paid?” link

Each reminder includes a link the client can use to say they've paid. Using it pauses that invoice's reminders and emails you. It does nothing else. It does not take a payment or mark the invoice paid in your accounts, so please check that the money arrived.

6. Delivery and results

We send emails through a third-party email provider and can't guarantee delivery, inbox placement, or that your client will pay. Reminders send only during your chosen hours (within 8am–6pm in your timezone, weekdays by default), so they may go out later than the scheduled day. The Service is not a collection agency or law firm, and guides we link to are general information, not legal advice.

7. Plans, billing and cancellation

The Free plan includes 1 active invoice. The Autopilot plan costs $9 per month (plus any applicable tax), billed in advance through Stripe, and renews automatically each month until you cancel. You can cancel anytime from the billing link in your dashboard or by emailing us. Cancellation takes effect at the end of the current billing period, and partial months are not refunded. If your subscription ends, invoices beyond the free plan stop sending until you resubscribe. We'll give at least 30 days' notice of any price change. There is no free trial of the paid plan.

8. Suspension and termination

We may pause sending, suspend or close accounts that break these terms, generate complaints or bounces, or put our sending reputation at risk. You can delete invoices and stop using the Service at any time; email us to delete your account.

9. Liability

The Service is provided “as is”. To the fullest extent permitted by law, we are not liable for indirect or consequential losses, or for the outcome of any invoice, and our total liability is limited to the amount you paid us in the 12 months before the claim. You agree to indemnify us against claims arising from invoices or reminders you send through the Service in breach of these terms.

10. Who we are and governing law

PayNudge is owned and operated by Nick Quigley, sole proprietor, Florida, USA. These terms are governed by the laws of the State of Florida, USA, excluding its conflict-of-law rules.
